Website Terms of Use
Effective date: October 1, 2026
Last updated: October 1, 2026
These Website Terms of Use ("Terms") govern your access to and use of fdmsoftwarelabs.com, together with any content, tools, or services made available on it (the "Website"), operated by FDM Software Labs LLC ("FDM Software Labs," "we," "us," or "our").
By accessing or using the Website, you agree to these Terms in full. If you do not agree, do not use the Website. Please also read our Privacy Policy, which explains how we handle information and is part of these Terms.
1. Who may use the Website
You must be at least 18 years old to use the Website. By using it, you represent that you are at least 18 and are able to agree to these Terms.
2. License to use the Website
Subject to these Terms, we grant you a non-exclusive, limited, non-transferable, and revocable license to access and view the Website and its content for your own informational and business purposes. We may suspend or withdraw this license at any time as described in these Terms.
3. Our intellectual property
We own or license all content and materials on the Website, including text, graphics, logos, designs, code, and the arrangement of them, and all associated rights are reserved. Your license under Section 2 does not transfer any ownership. You may not copy, reproduce, republish, or redistribute Website content in any external media, or use any of our intellectual property, except as expressly allowed here or with our written permission.
4. Acceptable use
You agree not to:
- (a) republish or redistribute Website content in any external media without permission;
- (b) sell, sublicense, or otherwise commercialize access to the Website;
- (c) damage, disrupt, or interfere with the Website, its servers, or its security;
- (d) use the Website in any way that impairs other users' access to it;
- (e) use the Website in violation of any applicable law or regulation;
- (f) use the Website to send advertising, spam, or unsolicited marketing;
- (g) use automated means (scrapers, bots, or similar) to extract data from the Website, except for public search-engine crawlers acting in the ordinary course; or
- (h) attempt to gain unauthorized access to any part of the Website or its systems.
5. Informational purpose; not professional advice
The Website describes our services and shares general information, examples, and opinions. It is provided for general informational purposes only and is not legal, financial, security, or other professional advice, and it does not create a client relationship. Any engagement to provide services is governed by a separate written agreement, not by these Terms or by anything on the Website.
Prices on the Website. Where the Website shows a fixed price for a package, add-on or plan, that is the price we charge for the scope described. A package summary you build on the Website is a quote at those prices and holds for 14 days from the date printed on it, even if the Website's prices change in that time; after 14 days the prices then shown apply. A price marked "from," a line marked as quoted, and any custom work are estimates until they are set in a signed statement of work. The summary is not an order and nothing is owed until an agreement is signed.
6. Links to other sites
The Website may contain links to third-party websites, products, or services. We provide these for convenience only, do not control them, and are not responsible for their content, availability, or practices. Following a link is at your own risk, and the third party's own terms and policies apply.
7. Anything you send us
If you contact us through the Website, submit a form, or otherwise send us content, you are responsible for that content and confirm you have the right to send it. You grant us a non-exclusive, royalty-free license to use the content you send for the purpose of responding to you and providing our services. Do not send us confidential information through the Website unless we have a signed non-disclosure agreement in place.
8. No warranty
The Website and its content are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including as to accuracy, completeness, reliability, or fitness for a particular purpose. We do not warrant that the Website will be uninterrupted, error-free, or secure. Your use of the Website is at your own risk.
9. Limitation of liability
To the maximum extent permitted by law, in no event will FDM Software Labs be liable for any loss or damage, whether direct, indirect, incidental, consequential, or otherwise, arising out of or in any way connected with your use of, or inability to use, the Website. Nothing in these Terms limits any liability that cannot legally be limited.
10. Indemnification
You agree to indemnify and hold FDM Software Labs harmless from any and all liabilities, claims, demands, damages, and expenses (including reasonable attorneys' fees) arising out of or connected with your breach of these Terms or your use or misuse of the Website.
11. Privacy
Our Privacy Policy explains what information we collect through the Website and how we use it. By using the Website, you also agree to the Privacy Policy, which is incorporated into these Terms by reference.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date above, and the updated Terms take effect when posted. Your continued use of the Website after a change means you accept the updated Terms.
13. Suspension and termination
You may stop using the Website at any time. We may suspend, restrict, or terminate your access to the Website at any time, with or without cause, including if you violate these Terms. Sections that by their nature should survive termination (including intellectual property, no warranty, limitation of liability, and indemnification) will survive.
14. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Website will be handled in the state or federal courts located in Polk County, Florida, and you consent to the jurisdiction and venue of those courts. Before filing anything, the parties will try in good faith to resolve the dispute directly for at least 30 days.
15. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
16. Entire agreement
These Terms, together with the Privacy Policy, are the entire agreement between you and FDM Software Labs regarding your use of the Website, and supersede any prior understandings on that subject. Any separate written services agreement between us governs the services it covers and controls over these Terms to the extent of any conflict.
